The share capital of the Company is comprised of shares of no par value.

The Company makes and holds its investment in the target company through its interest in investment funds managed by the Investment Manager.

Sherborne Investors Management LP or its affiliates have been appointed Investment Manager of the investment funds. The Investment Manager is an investment adviser registered with the United States Securities and Exchange Commission under the US Investment Advisers Act. The Investment Manager is responsible for identifying the target company; for building an appropriate non-controlling stake in the target company; for the formulation and execution of a turnaround of the target company; for voting shares held in the target company; and for the disposal of the stake in the target company.
